1. About us

These Terms & Conditions apply to the sale of goods and services by Rausch UK Limited.

References in these Terms to "Rausch UK", "we", "us" or "our" mean Rausch UK Limited.

2. Who these Terms apply to

These Terms apply to purchases made through our website, by telephone, email, quotation, purchase order or another agreed sales channel.

Some provisions differ depending on whether you are purchasing:

as a consumer, meaning an individual acting wholly or mainly outside their trade, business, craft or profession; or

as a business customer, meaning an individual or organisation acting for purposes relating to its trade, business, craft or profession.

Nothing in these Terms limits any statutory rights that a consumer has under applicable law.

3. Products and information

We take reasonable care to ensure that product descriptions, specifications, photographs, dimensions and other information are accurate.

However, manufacturers may change product specifications, appearance, packaging or accessories from time to time.

Images are for illustrative purposes and colours, finishes or minor details may vary from the product supplied.

Where a specification or characteristic is particularly important to your application, you should confirm it with Rausch UK before ordering.

The buyer is responsible for ensuring that a product is suitable for its intended application, except where applicable consumer law provides otherwise.

4. Prices and VAT

Unless expressly stated otherwise, prices identified as trade or ex-VAT prices are exclusive of VAT.

Where products are offered for sale to consumers, the applicable VAT-inclusive selling price will also be displayed clearly before the consumer commits to purchase, as required by applicable law.

VAT may also be itemised separately during checkout or on the relevant invoice.

Delivery, freight, installation, commissioning or other charges may be payable in addition to the product price.

Any applicable charge will be shown at checkout, stated in our quotation or otherwise agreed before the order is accepted.

We may change prices at any time before accepting an order.

Once an order has been accepted and paid for in full, we will not increase the agreed price unless the customer agrees to a change, for example where the specification of a bespoke order is subsequently altered.

5. Orders and contract formation

Placing an order constitutes an offer to purchase goods from us.

An automated acknowledgement or order confirmation confirms that we have received your order. It does not necessarily mean that we have accepted it.

Unless expressly agreed otherwise, a contract is formed when we confirm acceptance of the order or dispatch the goods.

For quotation-based, bespoke or project orders, a contract may instead be formed when we provide written acceptance of the customer's purchase order or other instruction to proceed.

We reserve the right to decline or cancel an order before acceptance, including where:

  • a product is unavailable;
  • there is an obvious pricing or description error;
  • we cannot obtain payment authorisation;
  • delivery cannot reasonably be made to the requested address; or
  • we reasonably believe an order is fraudulent or unlawful.

If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled goods.

6. Payment

Unless agreed credit terms apply, payment is required in full before goods are dispatched.

Where a business customer has an approved credit account, payment must be made in accordance with the payment terms stated on our invoice or agreed in writing.

We may suspend further deliveries or services where amounts are overdue.

For business-to-business transactions, we reserve the right to charge interest and applicable debt-recovery costs on overdue payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, or any alternative rate expressly agreed in writing.

Any bank, payment-provider or other charges arising because a customer's payment is rejected or reversed may be recovered from the customer where permitted by law.

7. Availability and lead times

Product availability shown on the website is provided in good faith but may change.

Some products are manufactured, configured or ordered specifically for the customer and may therefore have longer lead times.

Any stated dispatch or delivery date is an estimate unless we expressly agree in writing that a particular date is guaranteed.

We will contact you where a material delay occurs.

For consumer orders, applicable statutory delivery rights remain unaffected.

8. Delivery

Delivery charges and available services depend on the product, order weight, dimensions and destination.

Standard, heavy, oversized or specialist freight products may have different delivery arrangements.

Unless a different delivery period has been agreed, consumer goods will normally be delivered within the period required by applicable consumer law.

For consumers, risk in the goods generally passes when the goods come into the physical possession of the consumer or a person identified by them to receive the goods.

For business customers, risk passes on delivery unless otherwise agreed in writing.

9. Ownership of goods

For business customers, legal title to goods remains with Rausch UK until all amounts due for those goods have been paid in full.

Until ownership has passed, a business customer must take reasonable care of the goods and must not deliberately dispose of, alter or encumber them in a way that prejudices our ownership.

This retention-of-title provision does not affect the transfer of risk.

10. Inspection on delivery

Customers should inspect goods as soon as reasonably possible after delivery.

If goods appear damaged in transit, incomplete or incorrect, please notify us promptly at:

Where possible, retain the original packaging and provide photographs of the goods and packaging.

Business customers should notify us of visible shortage, damage or incorrect supply within five working days of delivery where reasonably possible.

This notification period does not remove or reduce any statutory rights that apply to consumers.

11. Consumer rights

Goods supplied to consumers must comply with applicable consumer law, including requirements relating to satisfactory quality, fitness for purpose and conformity with their description.

Nothing in these Terms excludes or restricts those rights.

Consumers purchasing online may also have a statutory right to cancel certain contracts without giving a reason.

Different rules apply to goods that are made to the consumer's specifications or clearly personalised and to certain other categories excluded by law.

12. Business returns

Business customers do not have the statutory distance-selling cancellation rights available to consumers.

A business customer wishing to return correctly supplied, non-faulty goods must obtain our prior written agreement.

Where we agree to accept such a return, we may impose reasonable conditions including:

  • a returns authorisation;
  • return of the goods unused and in resalable condition;
  • original packaging;
  • payment of return carriage; and
  • a restocking or handling charge of up to 25% where appropriate.

This does not apply to goods which are faulty or have been supplied incorrectly by us.

13. Bespoke, configured and special-order goods

Some Rausch systems, vehicle installations, specially configured equipment and other products may be manufactured or configured specifically for the customer's requirements.

Business customers may not cancel such orders after production, procurement or configuration has begun unless we agree otherwise in writing.

For consumers, statutory cancellation rights will apply unless a legal exemption applies.

In particular, goods made to a consumer's specifications or clearly personalised may be exempt from the usual 14-day cancellation right.

We will identify relevant bespoke or configured orders where appropriate before they are confirmed.

14. Warranty

Products may be supplied with a Rausch UK or manufacturer's warranty.

The duration and terms of warranty vary by product.

Warranty does not normally cover:

  • fair wear and tear;
  • misuse;
  • accidental damage;
  • unauthorised modification or repair;
  • failure to follow operating instructions;
  • consumable parts; or
  • damage resulting from use outside the manufacturer's specifications.

A manufacturer's commercial warranty is additional to, and does not replace, any statutory rights available to consumers.

15. Repairs and service

Where equipment is returned for diagnosis, repair, calibration or service, we may inspect the equipment before providing a quotation.

Where applicable, the customer is responsible for ensuring that equipment is safe, clean and appropriately decontaminated before return.

We may refuse to handle equipment presenting a health, contamination or safety risk.

Separate service or repair terms may apply to particular work.

16. Limitation of liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Nothing in this section affects the statutory rights of consumers.

For business customers only, and to the fullest extent permitted by law:

  • we will not be liable for indirect or consequential losses;
  • we will not be liable for loss of profit, revenue, business, contracts, goodwill, anticipated savings or data unless expressly agreed otherwise; and
  • our total liability arising from a particular order will normally be limited to the total amount paid or payable for the goods or services giving rise to the claim.

This limitation does not apply where liability cannot legally be restricted.

17. Intellectual property

All intellectual property in our website, brochures, product literature, photographs, drawings, software, branding and other materials remains the property of Rausch UK, the Rausch International group or the relevant third-party owner.

Purchasing a product does not transfer ownership of any associated intellectual property.

18. Force majeure

We will not be liable for delay or failure to perform our obligations where caused by circumstances beyond our reasonable control.

These may include transport disruption, fire, flood, severe weather, industrial disputes, war, civil emergency, epidemic, pandemic, governmental action, supply-chain failure, shortage of materials, energy interruption or failure of third-party communications or logistics services.

We will take reasonable steps to minimise the effect of such circumstances.

Nothing in this section removes any statutory rights that cannot lawfully be excluded.

19. Data protection

We process personal data in accordance with our Privacy Notice.

20. Changes to these Terms

We may update these Terms from time to time.

The Terms applicable to an order are normally those in force when the order is placed, unless a change is required by law or expressly agreed with the customer.

21. Governing law

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.

For business customers, the courts of England and Wales shall have exclusive jurisdiction unless otherwise agreed.

Consumers may have additional rights concerning where proceedings may be brought and nothing in this clause removes those rights.
